Five-Person Trust Shapes Anthropic Board Ahead of IPO
As Anthropic advances toward an IPO, the governance role of its long-term benefit trust has come under scrutiny. The trust was originally designed to have five trustees, though the publicly disclosed list currently includes four. According to company disclosures, the trust has the authority to appoint and remove certain directors; as of April of this year, directors appointed by the trust constitute a majority of the board. The trust must also be informed of certain matters that could significantly alter the company, but existing public information is insufficient to determine whether it can directly veto transactions such as mergers and acquisitions. While Anthropic has explained the trust’s basic structure and the process for selecting trustees, investors still require more comprehensive disclosures regarding how these powers are exercised in specific major decisions.
